Terms of Service

Welcome to TheAssist (“we”, “our”, “us”). These Terms of Service (“Terms”) govern your access to and use of our website https://www.theassist.nyc and any related sub‑pages, mobile sites or applications (collectively, the “Platform”), together with any services, features, content and products we provide (the “Services”).

BY ACCESSING OR USING THE PLATFORM OR SERVICES — INCLUDING BY CREATING AN ACCOUNT, PURCHASING EVENT TICKETS OR CLICKING “I AGREE” — YOU ACCEPT AND AGREE TO BE BOUND BY THESE TERMS AND OUR Privacy Policy and Cookie Policy. If you do not agree, do not use the Services.

1. Who May Use TheAssist

• You must be at least 18 years old and able to form a legally binding contract.
• You represent that any registration information you submit is accurate and kept up‑to‑date.
• You are responsible for all activity that occurs under your account.

2. Accounts & Social Logins

You may register with an email/password or via a supported third‑party provider (e.g., Google). If you use a social login you authorise us to access certain information from that service, as described in our Privacy Policy.

3. Events, Tickets & Payments

• Event Listings. We partner with creators and venues to host watch‑party events. Details are posted in good faith but may change.
• Payment Processing. Payments are processed by Stripe; you agree to Stripe’s Services Agreement and Privacy Policy. We never store full card details.
• Cancellations / Refunds. All sales are final unless an event is cancelled by the organiser, in which case we will refund the ticket price.

4. Acceptable Use & Community Rules

1. Respect other fans — no harassment, discrimination or hate speech.
2. Comply with all venue rules (age restrictions, alcohol policies, etc.).
3. Do not post unlawful, infringing or harmful content.
4. Do not scrape, reverse‑engineer or disrupt the Platform.
5. Do not use the Services for bets or fantasy contests that violate law.

Violation may result in suspension or termination of your account without notice.

5. Intellectual Property

All content on the Platform is owned by TheAssist or its licensors and protected by intellectual‑property laws. You receive a limited, non‑exclusive, revocable licence to access the Services for personal, non‑commercial use.

6. Third‑Party Links & Integrations

The Platform may link to or integrate third‑party services (e.g., Google Maps, Instagram). We do not control those services and are not responsible for their content or practices.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR‑FREE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER THEASSIST NOR ITS AFFILIATES WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED US $100 OR THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, WHICHEVER IS GREATER.

9. Indemnification

You agree to defend, indemnify and hold TheAssist and its officers, directors, employees and agents harmless from any claims, damages, liabilities, costs and expenses (including attorneys’ fees) arising out of or related to your use of the Services or breach of these Terms.

10. Modifications

We may modify the Services or these Terms at any time by posting an updated version and revising the “Last updated” date. Continued use after that date constitutes acceptance of the revised Terms.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of New York. Any dispute shall be resolved by binding arbitration under the AAA Consumer Arbitration Rules; you waive the right to a jury trial and to participate in class actions.

12. Termination

We may suspend or terminate your access at any time for conduct that violates these Terms or is otherwise harmful. Sections 5–12 survive termination.
